Terms & Conditions

These terms govern your use of Junixo Digital's website and services. Please read them carefully - they are written plainly so you actually understand what you are agreeing to.

Acceptance of Terms

By accessing or using the Junixo Digital website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree, please do not use our website or services.

These terms apply to all visitors, clients, and anyone who accesses or uses services provided by Junixo Digital. References to "we", "us", or "our" mean Junixo Digital. References to "you" or "client" mean the person or business engaging our services.

Our Services

Junixo Digital provides digital marketing, SEO, web development, mobile app development, and related digital growth services. The specific scope of services for any engagement is defined in a separate proposal, statement of work, or service agreement provided to you prior to commencing work.

Services include but are not limited to:

  • Search engine optimisation (SEO) - technical, on-page, and off-page
  • Paid advertising management - Google Ads, Meta Ads, LinkedIn Ads, TikTok Ads
  • Website design and development - Next.js, WordPress, Shopify, and custom builds
  • Mobile application development - iOS, Android, React Native, Flutter
  • Content marketing, email marketing, and social media management
  • Digital strategy consulting and performance reporting

We reserve the right to decline any project or client engagement at our discretion without obligation to provide a reason.

Client Obligations

To allow us to deliver services effectively, you agree to:

  • Provide accurate, complete, and timely information, assets, and access credentials required for the project
  • Review and provide feedback on deliverables within the timeframes agreed in your project plan
  • Ensure all content, images, and materials you supply to us do not infringe any third-party intellectual property rights
  • Not use our services for any unlawful, harmful, or deceptive purpose
  • Maintain the confidentiality of any login credentials we provide to you
  • Notify us promptly of any changes that may affect project delivery or strategy

Delays caused by late provision of materials, feedback, or approvals may affect agreed timelines and are not the responsibility of Junixo Digital.

Payment and Fees

Invoicing:

Fees are as specified in your proposal or service agreement. Retainer services are invoiced monthly in advance. Project-based work follows a milestone payment structure as agreed in writing prior to project commencement.

Payment terms:

  • All invoices are due within 14 days of the invoice date unless otherwise agreed in writing
  • Late payments may incur interest at 2% per month on the outstanding balance
  • We reserve the right to pause or suspend services on accounts that are 30 or more days overdue
  • All fees are quoted exclusive of applicable taxes unless stated otherwise

Refunds:

Work already completed and delivered is non-refundable. If you cancel a retainer mid-cycle, the current period will not be refunded but no further charges will be applied after the cancellation date.

Intellectual Property

Your assets:

You retain full ownership of all content, logos, brand assets, and materials you supply to us. Supplying these materials grants us a licence to use them solely for the purpose of delivering your services.

Work we create for you:

Upon receipt of full payment for a project, all custom deliverables created specifically for you - including website designs, code, content, and ad creative - become your property. This excludes any proprietary tools, frameworks, or templates owned by Junixo Digital that may be incorporated.

Junixo Digital's own IP:

Our proprietary methodologies, internal tools, templates, processes, and any pre-existing intellectual property remain the exclusive property of Junixo Digital at all times and are not transferred to clients.

Portfolio rights:

Unless you request otherwise in writing, we reserve the right to reference your business name and display work completed for you in our portfolio, case studies, and marketing materials.

Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement, including but not limited to business strategies, financial information, customer data, campaign data, and technical systems.

  • We will not disclose your confidential information to any third party without your prior written consent, except as required by law
  • You will not disclose our proprietary methodologies, pricing structures, or internal processes to third parties
  • Confidentiality obligations survive the termination of our engagement for a period of 2 years

Results and Warranties

Important: While we commit to agreed performance benchmarks and work diligently toward your goals, digital marketing and SEO results are inherently subject to factors outside our control - including search engine algorithm changes, market conditions, and competitor activity.

We do not guarantee specific rankings, traffic volumes, or revenue outcomes unless explicitly stated in a signed performance agreement. Our services are provided with reasonable skill and care, consistent with industry standards.

We make no warranty that our services will be uninterrupted, error-free, or that third-party platforms (Google, Meta, etc.) will behave as expected.

Limitation of Liability

To the maximum extent permitted by applicable law, Junixo Digital's total liability to you for any claim arising out of or related to these terms or our services shall not exceed the total fees paid by you in the 3 months preceding the claim.

We are not liable for:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or corruption of data
  • Indirect, consequential, special, or punitive damages of any kind
  • Actions, decisions, or changes made by third-party platforms (Google, Meta, Shopify, etc.)
  • Delays caused by your failure to provide required materials, approvals, or access

Nothing in these terms excludes liability for fraud, gross negligence, or any liability that cannot be excluded by law.

Termination

Termination by you:

You may terminate a retainer engagement by providing 30 days' written notice. Project-based work may not be terminated once a milestone has commenced without forfeiting fees for that milestone.

Termination by us:

We may terminate our engagement with immediate effect if you:

  • Fail to make payment within 30 days of the due date
  • Breach these terms and fail to remedy the breach within 14 days of written notice
  • Engage in conduct that is unlawful, abusive, or harmful to our team
  • Provide materially false or misleading information

Upon termination:

We will provide you with all completed work and relevant account access. Outstanding fees for work completed remain payable. Confidentiality obligations continue as stated in Section 06.

Third-Party Platforms

Many of our services involve managing campaigns and accounts on third-party platforms including Google, Meta, LinkedIn, TikTok, Shopify, and others. You acknowledge that:

  • These platforms have their own terms of service which you are independently responsible for complying with
  • Platform policies, ad approval decisions, and algorithm changes are outside our control
  • We are not responsible for account suspensions, policy violations, or data losses caused by platform decisions
  • Advertising spend on third-party platforms is billed directly to you by those platforms and is separate from our management fees

Governing Law

These terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of India.

If you are located in a different jurisdiction, local mandatory consumer protection laws may apply in addition to these terms and are not excluded by them.

Changes to These Terms

We may update these Terms & Conditions from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify active clients by email.

Continued use of our website or services following any update constitutes acceptance of the revised terms. We encourage you to review these terms periodically.
